Role Value Proposition:

We are seeking an experienced paralegal to join the in-house Legal Services Team of paralegals and administrative associates to support the Legal Affairs department and work closely with our attorneys. The Legal Assistant will provide a diverse range of support functions to the Legal Services Team with a focus on regulatory and general corporate matters within and outside the U.S. The successful candidate will have significant experience working at a large law firm, corporation, or other organization exhibiting functional knowledge and skills in corporate and public company/SEC law. A laser-like attention to detail, comfort with autonomy and a high level of initiative are important.

Key Responsibilities:

  • Assist the public company legal team with preparation of SEC filings and other related documents, including: Forms 10-K, 8-K, 10-Q, Proxy statements, other Proxy materials and earnings releases.
  • Review and revise confidential agreements and contracts in accordance to corporate standards.
  • Assist attorneys with preparing regulatory filings.
  • Assist attorneys with merger and acquisitions and other corporate transactions.
  • Prepares summaries, chronologies, spreadsheets and other documents to assist in complex legal topics and management.
  • Maintain current and historical confidential corporate information electronically in various databases.
  • Be proactive in identifying issues and potential liabilities to the corporate entities.
  • Review and revise third-party contracts and communicating terms.
  • Gather and analyze statutes, decisions, and legal articles, codes, documents and other data.
  • Provide assistance to attorneys and participate in special projects across Legal Affairs.
  • Attend and participate in huddles, events and meetings as required both with attorney groups and other legal assistant teams.
  • Assist with the identification and summarizing of relevant issues; continually monitor issues and update attorney, as appropriate.

Essential Business Experience and Technical Skills:

Required:

  • Advanced technical skills in Word, Excel, PowerPoint, E-Docs, SharePoint, Outlook, Workshare Compare, Westlaw, Lexis, SEC website, Federal Reserve website, EDGAR, NAIC website, NILS, Romeo, Dye, web-based applications and legal systems.
  • Functional knowledge and skills in corporate and public company/SEC law, such as 8-K's, 10-K's, 10-Q's, and Section 16 filings.
  • Draft, review, and/or analyze routine legal documents as requested by attorneys; conduct legal research under attorney supervision.
  • Excellent writing skills with the ability to translate complex business and legal concepts into clear and compelling text.
  • Exceptional analytical, organizational, time management, project management, research, communication, interpersonal skills and a strong attention to detail.
  • Familiar with Electronic Document Management and Filing Systems.
  • Takes ownership of deliverables, is accountable, and owns professional development by actively seeking out feedback, learn new skills, new systems quickly and teach others as necessary.
  • Must be flexible and able to respond quickly and positively to shifting demands and opportunities. Able to work under tight deadlines and handle multiple, detailed tasks.
  • Must demonstrate the ability to maintain confidential information sensitively and discreetly.
  • Independence and integrity; able to meet deadlines, work efficiently, and manage oneself in a telecommuting/remote environment.
  • Must be able to anticipate problems and issues and exercise independent judgment to make sound, justifiable decisions and take action in solving problems while knowing when and to whom to escalate
  • issues. Provides updates to supervising attorneys and management, working in a Matrix organization.
  • Create and maintain effective working relationships with others to facilitate a positive and productive work environment.
  • Continuously refine, develop, and expand skills in anticipation of changes in the work environment or profession.
  • 3-5 years of paralegal experience with a corporate law firm or similar role.
  • Must have a Notary Public License or agree to obtain it within the first year of employment.

Preferred:

  • Bachelor's Degree preferred
  • Paralegal Certificate a plus
