We're building a culture of success and are looking for motivated professionals to join us!THE OPPORTUNITYAs our Head of Legal at Xactly Corporation, you'll lead the corporate Legal department with a results-oriented focus and passion to solve complex problems creatively and practically that balances legal risk and enables business objectives.

The Head of Legal, reporting directly to the CFO, will be responsible for supervising all legal affairs spanning HR and employment issues, intellectual property, commercial transactions, sales and partnership agreements, as well as litigation and other legal matters on a global scale. Leading a small team of attorneys, this role requires a balance of hands-on involvement, strategic direction-setting and management of legal operations.THE TEAMXactly's legal team is a close-knit group of individuals with diverse skills, backgrounds, and talents who truly support each other every step of the way.

The legal team is very respected and highly regarded in the organization. We hold a reputation for being creative problem solvers who skillfully and guide risk-based decisions. The annual legal survey of our internal clients often reports that we are the best legal team that they have ever worked with.

THE SKILL SET10+ years of in-house legal experience preferred with consideration of equivalent transactional-based law firm experience, with at least one of those years working at a SaaS based software companySupport and lead the team to negotiate technology contracts, including software licenses, SaaS subscription, reseller, OEM, professional services, statements of work, maintenance, subcontracting, hardware purchase, and nondisclosure agreementsExpertise with US federal and state employment laws coupled with ability to provide practice advice to HR on such mattersExperience leading strategy and tactics around litigation and other related mattersAbility to handle regulatory and compliance matters, public policy advocacy, labor law, tax work, issues around intellectual property, and more.Experience coaching, mentoring and leading a team of attorneys to support the business in key legal areas. Develop and implement comprehensive intellectual property strategies, including patent, trademark, and copyright protections, resulting in a significant increase in the safeguarding of company assets and a reduction in legal risks.

Analyze contract terms against industry best practices and company policy, then advise the business unit of the risks and mitigate those risks to achieve business objectivesJD degree from an ABA-accredited law school with admission to the Bar in at least one U.S. state, with active and good standing membershipExperience supporting go-to-market and sales teamsFamiliarity with software contract life cycle from pre-to-post-awardCIPP - Privacy certification helpful and Data Processing Agreement negotiation experience preferredAbility to operate autonomously while being a collaborative team player.Demonstrated ability to be proactive, exercise independent judgment, and manage multiple projects simultaneously.

Salary ranges allow for growth opportunities as the employee develops new skills and/or hones current skills. A reasonable range estimate is $220,000 to $275,000 plus applicable bonus.Applications will be accepted only for those currently residing in the posted country for this role.
